| General Terms and Conditions for professional training services (national, international and Company-Training) | |

| PLEASE NOTE: This translation is for your information only. The legally binding document is the German version of these Terms and Conditions (Allgemeine Geschäftsbedingungen)! The following Terms and Conditions shall apply to all contracts regarding professional training programs such as Seminars, Workshops and similar services rendered by the Erich Pommer Institut (hereinafter referred to as EPI) including the Trans Atlantic Partners training program in cooperation with Strategic Partners (hereinafter referred to as SP) and Independent Filmmaker Project (hereinafter referred to as IFP). Subsidiary agreements, alterations, amendments or any other form of modification to this text must be in written form to become effective. The lecturers are not entitled to perform the aforementioned modifications to these general Terms and Conditions or the contract itself. The nullity of any of the provisions herein shall affect neither the validity of the Agreement as such nor the validity of these General Terms and Conditions. 1. Participation In general, participation in the Seminars of the EPI is open to the public. However, in the case of Essential Legal Framework training programs supported by MEDIA 2007 Program, participants from member states of the European Union shall have priority over participants form non-member states and in case of Trans Atlantic Partners training program residents of Canada, the United States or the European Union shall have priority. The EPI reserves the right to exclude participants from training programs in case the participant is in breach of obligations provided in clause 5 or does not meet his obligations to pay the participation fee in time. 2. Registration A valid registration shall require the proper completion of the registration form prior to the scheduled beginning of the training program. Registration is possible via letter, fax, e-mail or on the homepage of the EPI directly. The completion of the online registration form on the homepage pf the EPI is regarded as legally binding registration. The data of each participant will be processed and stored electronically. EPI - and in case of the Trans Atlantic Partners Program, SP and IFP - reserve the right to provide participants with the data of the other participants in regard to name and contact details of participant's employer or company, except if a participant has expressively rescinded his or her approval thereof. 3. Conclusion of Contract The contract between participant and EPI shall be concluded after the EPI has confirmed the registration in written form. 4. Implementation The minimum number for National Training shall be six (6) participants, the minimum number for EU-Training and Trans Atlantic Partners training program shall be fifteen (15) participants. The minimum number of participants for company-training shall be agreed upon individually between the contracting parties. 5. Rights to reschedule or cancel by EPI The EPI reserves the right to cancel or reschedule a Seminar in case the minimum number of participants is not met (Art. 4 of the General Terms and Conditions).In the event of sickness of the announced lecturer, the EPI shall have the right to provide an adequate replacement or to reschedule or cancel the Seminar. Participants will be informed immediately thereof. In the event of rescheduling, the participant shall have the right to withdraw from the contract. In the event of cancellation, the participant shall be reimbursed in full for any participation fees already paid. There is no right to withdraw if the curriculum of the seminar is changed. 6. Right to cancellation of a National-Training Seminar The participant shall have the right to cancel his or her registration at no costs up until 2 working days prior to scheduled beginning of National-Training Seminars. In case that the cancellation is effected less than 2 working days prior to scheduled beginning of the Seminar or participant fails to appear without cancelling inside aforementioned period, the participation fee has to be paid in full. Cancellations have to be submitted to EPI within the time limit in written form by e-mail, fax or post mail. There is no right for cancellation when the registration is done less than 2 working days prior to scheduled beginning of a Seminar; the registration fee has to be paid in full. Participants shall always have the right to name a substitute participant without further costs. 7. Right to cancellation of an EU-Training Seminar (Essential Legal Framework training series) The participant shall have the right tocancel his or her registration at no costs up until 3 weeks prior to scheduled beginning of EU-Training Seminars. In case that the cancellation is effected 8 to 21 days prior to scheduled beginning of the Seminar, 50% of the participation fee is due. If cancellation is effected less than 8 days prior to the commencement or participant fails to appear without cancelling, the participation fee has to be paid in full. Cancellations have to be submitted to EPI within the time limit in written form by e-mail, fax or post mail. There is no right for cancellation when the registration is done less than 2 working days prior to scheduled beginning of a Seminar; the registration fee has to be paid in full. Participants shall always have the right to name a substitute participant without further costs. 8. Right to cancellation of TRANS ATLANTIC PARTNERS training programme Concerning the TRANS ATLANTIC PARTNERS training programme, the cancellation of participation will be accepted until April 29th, 2012. Cancellations have to be submitted to EPI within the time limit in written form by e-mail, fax or post mail. If cancellation is effected after April 29th, 2012 or if participant fails to appear, the participation fee has to be paid in full. In aforementioned case, participant shall have the right to name a substitute participant who is, however, subject to prior approval by EPI, SP and IFP. 9. Right to cancellation of European TV Drama Series Lab training programme Concerning the European TV Drama Series Lab training programme, the cancellation of participation will be accepted until April 5th, 2012. Cancellations have to be submitted to EPI within the time limit in written form by e-mail, fax or post mail. If cancellation is effected after April 5th, 2012 or if participant fails to appear, the participation fee has to be paid in full. In aforementioned case, participant shall have the right to name a substitute participant who is, however, subject to prior approval by EPI. 10. Obligations of participant The participant is obligated to: • Comply with instructions by staff members of the EPI concerning rules of the house • Handle all provided devices and materials and the facilities and premises with care • Refrain from smoking in the premises, except as otherwise indicated In case EPI provides technical equipment such as personal computers for the participants, participant is obligated to refrain from copying, installing, down- or uploading and modifying software from or to the computer. 11. Certificate of attendance A certificate of attendance can be issued, if requested. 12. Fee Except as otherwise noted, participation fee is for a single person and for one (1) seminar only. Except as otherwise noted, the participation fee includes cost and fee for provided material and catering (snacks and drinks) during breaks. In case of Essential Legal Framework and Trans Atlantic Partners Training the cost of accommodation and meals are included. The participation fee shall become due on the day the participant receives the confirmation of registration which includes the invoice. Both, confirmation and the invoice will be sent by e-mail. EPI will confirm via post letter only when expressly requested by participants. Differing payment modalities, such as deferred payment or change of due date, have to be mutually agreed upon between parties in writing. 13. Copyright The supplied materials are protected by copyright. The duplication, dissemination or any other use of the materials is permitted with prior written consent by EPI only. The commercial use of works created by or in participation with participant during a seminar, protected as a whole or in parts by copyright or not, is permitted only with prior written consent by EPI. EPI shall have the right to withhold consent or to give consent under certain conditions, in cases where business interests of EPI or third parties might conflict with such use. Otherwise EPI will not withhold this consent in accordance with good faith. In case works created by or in participation with participant during a seminar are protected by copyright, participant hereby grants EPI the gratuitous, non-exclusive rights of exploitation, unrestricted by time and territory for any types of use known. In aforementioned case participant will refrain from exercising his right to be named as the author of the created work. 14. Liability EPI - in case of Trans Atlantic Partners training program also SP and IFP - take no responsibility for the up-to-dateness, correctness and completeness of the supplied materials or the seminar. The EPI - in case of Trans Atlantic Partners training program also SP and IFP - bear liability for personal and property damages, only for intent and gross negligence. The participant bears liability for all damages caused by actual fault. 15. Costs of default In the event of a payment default, EPI shall have the right to charge the amount of 3 Euro for each written warning to cover costs for postage and administrative purposes. 16. Right of retraction If participant is consumer, then he or she has the right to retract the order in written form within 14 days after receipt of confirmation without indicating reasons for revoking the contract. No penalty shall occur in that case. To observe the 14 day time period, it is adequate to mail the retraction in a timely fashion to the following address: Erich Pommer Institut gGmbH Försterweg 2 D-14482 Potsdam-Babelsberg Germany The aforementioned right of retraction shall not be applicable, if the booked seminar took place and participant participated in it. 17. Miscellaneous provisions These provisions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. The place of jurisdiction and the place of performance shall to the extent permitted by law be Potsdam. | |
